ELF MADE EVENTS LTD (“EMEL”)

 

Event Terms and Conditions for Clients

 

These are the Terms and Conditions of Elf Made Events Ltd, a company registered in England and Wales with registration number: Company number: 14317312. Elf Made Events Ltd Registered Office: Vantage House, East Terrace Business Park, Euxton Lane, Euxton, Chorley, PR7 6TB.

 

Application of these Terms and Conditions

 

These Terms and Conditions are part of the Contract between EMEL and the Client. They supersede any previously issued terms and conditions published.

 

No terms or conditions endorsed on, delivered with, or contained in the Client’s Booking conditions or other documents shall form part of the Contract except to the extent EMEL agrees in writing.

 

No variation of these Terms and Conditions or to a Booking or the Contract shall be binding unless expressly agreed in writing and executed by a duly authorised signatory on behalf of EMEL.

The person booking any or all of the EMEL's services must be over 18 years of age.

 

EMEL may accept or reject a Booking at its discretion. Confirmation and acceptance or rejection of the Booking will be sent to the Client by email.

 

A Booking shall not be accepted, and no binding obligation to supply any Event according to a Booking shall arise until EMEL’s written acceptance of the Booking has been communicated to the Client by us.

 

Marketing and other promotional material relating to any Bookings are illustrative only and do not form part of the Contract unless expressly incorporated by us.

 

Bookings

 

The Booking shall specify where the Event will take place and the time and date.

 

The Client shall (and shall procure that each Attendee shall) comply with any rules, policies and procedures of the Venue of the Event at all times, including all health and safety policies and procedures and all reasonable instructions of the Venue staff EMEL’s representatives at the Event. The Client agrees to remove any Attendee from the Event whose presence is or is likely to cause a disturbance or who is drunk and/or under the influence of drugs, or may, be deemed reasonably undesirable.

 

Price

 

The Price for the Booking shall be as set out in the Booking or, in default of such provision, shall be calculated under EMEL ‘s scale of charges as advised by EMEL to the Client before the date the Booking is made.

 

The Prices are exclusive of VAT (or equivalent sales tax). The Client shall pay any applicable VAT to EMEL on receipt of a valid VAT invoice.

 

We may increase the Prices at any time by giving the Client notice in writing.

The price shall include all and any costs, including the hiring of performers, props, machinery, associated expenses, set-up costs, travel (including international travel), accommodation costs and those specified or estimated in a Booking.

 

Payment

 

Bookings made require full fee settlement to secure the Booking of other artists and associated props at the time of the Booking.

 

EMEL shall invoice the Client upon acceptance by EMEL of the Booking for 100% of the Price.

The Client shall pay all invoices in full without deduction or set-off, in cleared funds, within 7 days of the date of each invoice. The Booking may be cancelled if payment is not made.

EMEL may cancel without notice any Bookings not paid for in full before the start of the Event to which it relates.

 

The Client accepts that in putting on Events, EMEL will have to expend money on materials and services, in paying deposits to artists and in creating branded or bespoke items (each of them being a “Non-refundable Item”) and that expenditure on such things cannot be refunded in any circumstances including in the event of cancellation by the Client or by EMEL or in the event of Force Majeure.

 

Where sums due under these Terms and Conditions are not paid in full by the due date, EMEL may, without limiting its other rights, charge interest on such sums (including any period after the date of any judgment or decree against the Client), and late payment fees will fall due and be payable calculated upon the basis set out in the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).

 

EMEL’s Responsibilities

 

EMEL agrees to use its reasonable endeavours to deliver its services in conformity with the Booking and these terms and conditions.

 

EMEL will also comply with any additional customer requirements which are set out in the Schedule, if any.

 

Artist, Prop and Equipment Availability

 

EMEL will use reasonable endeavours to ensure the availability of any Artist identified on the Booking. This will include (but not limited to) Santa Chris Nicholas, Mrs Claus, Elf performers, The Grinch, Princess entertainer(s) etc. This also extends to the working order of props, including (but not limited to) Santa’s Hollywood Sleigh, snow machines or other event-related props and/or machinery.

 

While EMEL will make all reasonable efforts to replace the Artist, prop, machinery or service of an equal calibre, EMEL will not be liable to the Client for any delay to or the failure in whole or part of its services due to the non-availability of the Artist where the non-availability is beyond the reasonable control of EMEL nor the malfunction or failure of any prop or machinery beyond our control.

 

When you place any Booking via EMEL, it is understood and agreed that EMEL may use sub-contracted services. While EMEL always ensures that all service providers, props, Artists and equipment are of the highest quality, EMEL accepts no responsibility for the service provided by our third-party suppliers, including performers, props and machine hire and any installation service provided. While EMEL researches and sets high standards for all of our subcontractors, EMEL accepts no responsibility for the service provided by other parties.

 

Santa's Hollywood Sleigh, Christmas decoration service and Prop hire

 

The Client must provide EMEL with sufficient time and access to perform the Installation Services, as advised by us.

 

The Client is responsible for acquiring the correct and valid permission, consents or licences to allow us to perform the Installation Services, and in some instances, we will assess the Venue for its suitability; if the Venue is unsuitable for our Installation Services, our decision will be final.

 

EMEL will use our artistic licence and interpretation to perform the Installation Services, and we may provide a substitute if Props and Services are unavailable. Please note that any dimensions supplied for Props and Services are approximate only, and the Client must ensure adequate space is available. EMEL collection or delivery note is final and conclusive evidence of collection by or delivery to the Client.

 

All Props may only be used indoors unless we agree otherwise.

 

The Client is responsible for all health and safety requirements for Props and Services at the Venue.

 

The Client must pay for all losses, damages and cleaning costs in total, which will be charged to the Client accordingly.

 

EMEL accepts no liability for indirect or consequential loss. Any liability is limited to a refund for the element for which that liability arises only.

 

Hire Props are hired to one location only. If the Client wishes to take the Props to a separate location this will constitute an individual hire, and the Client will be charged accordingly.

 

The Client is responsible for acquiring the correct and valid permission, consents or licences in respect of the Props and ensuring the Props are stored and used following all laws and regulations. Props must be kept away from heat sources, as some Props may be flammable or prone to heat damage.

The Client must provide a smoke-free environment for all Artists and Service personnel provided by EMEL. This includes private residential homes. 

 

EMEL Props may have reasonable signs of wear and tear and are supplied “as seen”. The Client may inspect the Props before placing a Booking by providing EMEL with reasonable notice at a time agreed upon by EMEL.

 

If we agree to deliver and/or collect:

We will deliver to and collect from the ground floor loading bay unless we agree otherwise; only one delivery person will be provided. The Client may be required to assist with the offloading and uploading of Props. The Client will be liable for any damage caused whilst loading the Props.

 

If the Client is not present for delivery and/or collection, the EMEL collection or delivery note is final and conclusive evidence of the number of Props and quality of the Props collected or delivered. Suitable transport must be provided if the Client is arranging collection or return. EMEL reserves the right to refuse to release Props to unsuitable for transporting. The Client must test electrical Props before use and only use electrical Props in conjunction with a Residual Current Device (RCD).

 

The title in the Props shall remain with EMEL at all times.

 

All Props must be returned to EMEL from the Client and repackaged in the same condition as received.

 

EMEL’s hire charge is payable even if the Props are returned unused, and Props not returned by the due date, as advised to the Client by EMEL, will be charged at our standard daily rate.

 

Transhipment couriers are not permitted to be used.

Santa's Hollywood Sleigh size and access requirements.

EMEL offers the option of booking a sleigh of Hollywood cinematic quality (Santa's Hollywood Sleigh), which requires a large amount of space. Before booking, please ensure that you have adequate space for where you wish the sleigh to be positioned; should the sleigh be positioned inside, it is the client’s responsibility to ensure that it comfortably fits through any doors that may need to be passed.

 

Please note that the sleigh is one solid piece and can not be dismantled.

 

The approximate guide dimensions of the sleigh are:

Height - 1600mm to 1700mm (this would be floor to the top at the back of the sleigh)

Width - 1500mm to 1600mm

Length - 3000mm to 3300mm

 

Should the cleint be unable to facilitate this size, we may accommodate the client with a more minor, more compact standard sleigh that is of a different design through Elf-Made Industries when booking the reindeer, which is subject to availability.  

Service provision by EMEL

 

The Client agrees that the service delivery will be subject to EMEL’s reasonable artistic licence and interpretation.

 

The provision of Props and Installation Services is subject to availability, and EMEL reserves the right to provide reasonable alternative Props and/or Services in the case of unavailability of the Props and/or Services specified at the time of making a Booking.

The Client agrees that EMEL may, without liability, omit, change or move any element of the Services as we reasonably consider necessary on health and safety grounds.

 

Reindeer Hire

 

EMEL works with a third-party business that supplies LIVE reindeer to hire; thus, we can offer Clients a combined discounted package of "Santa Chris Nicholas with real reindeer" for your event.

 

Specified details of the additional reindeer hire service we provide will be sent to the Client on an enquiry. When you are explicitly Booking reindeer with Santa Chris Nicholas, all queries relating to Bookings will only be handled by EMEL's office.

 

When you place any Booking for LIVE reindeer via EMEL, it is understood and agreed to that EMEL accepts no responsibility for the service provided by our reindeer supplier or their reindeer outside of the Booking process as the reindeer supplier is an independent company from EMEL.


Reindeer well-being.

All reindeer are subject to availability.

 

Where a Booking is taken with two reindeer and one is unwell on the day, or adverse circumstances prevail, our reindeer supplier will endeavour to replace it with another reindeer or sleigh and honour the price quoted initially.

 

Our reindeer supplier and EMEL expect all Clients to have consideration for all of our animals. If, in our reasonable opinion or the reasonable opinion of any other person in authority, if you or any member of your party behaves in such a way as to cause or be likely to cause danger, upset or distress our reindeer, our reindeer supplier is entitled, without prior notice, to terminate the Booking with immediate effect. No refunds will be made, nor will our reindeer hire company pay any expenses or costs incurred due to the termination.

 

Our reindeer attendance at your event is governed by trading standards and DEFRA restrictions imposed at any time for disease containment – we have no control over these and cannot be held liable should they impose animal movement restrictions for disease spread prevention on this date.

 

The reindeer may require a break to rest after two hours – this is part of the animal welfare regulation.

 

Parking, access and space are provided for the reindeer's appearance.


Suitable parking is mandatory for all Bookings for our reindeer hire service.


We may not be able to supply reindeer at your event if the parking space, access and the area allocated for our animal pen and related equipment are insufficient.


The parking must accommodate our animal vehicles alongside an additional area big enough for our pen, sleigh and related equipment. A detailed specification of this will be sent to the Client on enquiry. The parking location must be close to the same area where the reindeer will be placed for their appearance.

 

The space provided for the reindeer hire service must be on land owned by the Client or is owned by the Venue of the event, and/or the Client must have full permission and access to this space for the reindeer service provided by EMEL and affiliated partners.

 

Transportation of reindeer.

 

Please note that in case of breakdown, traffic problems, road closures, etc., our reindeer supplier will endeavour to get the reindeer to your Booking as quickly as possible. The reindeer supplier has a full roadside and a particular breakdown relay covers independently for lorries and trailers. If our reindeer supplier cannot make the Booking, then a refund will be given concerning the costs of the reindeer portion of the Booking, or you will have the option to book a different day with the reindeer supplier. If the reindeer supplier is late, they will make the time up by staying longer.

 

Our reindeer supplier always leaves early, ahead of time to get to a Booking; long journeys are made the day before to Venues, and the reindeer supplier accommodates the animals on a farm. However, please advise of any significant roadworks near the Venue before departure so that extra time is allowed.

 

There are Rules & Regulations about how many hours an animal can be on the road, and our reindeer supplier obeys all the Rules & Regulations in this regard.

 

Standard Artist requirements:

 

Power: It is the Client's responsibility to ensure that a safe source of power is provided for our services and Artists' equipment should any of our services require power and that all local authority regulations are adhered to.

 

Venue constraints: It is the responsibility of the Client to ensure that the performance Venue will provide a safe performance area and that the Venue is happy to accommodate the performance of such events. Other considerations, such as noise limitations, restrictive Venue access and/or difficult load-ins, should be mutually agreed upon between EMEL and the Client before Booking. Any relevant information should be disclosed to EMEL before Booking confirmation.

 

The performance area is the responsibility of the Client to ensure that a suitable performance area is provided. Performance space requirements specific to the Artist. For outdoor performances, shelter (such as a marquee or gazebo) must always be provided, regardless of weather conditions on the day.

 

Refreshments: It is the responsibility of the Client to provide any refreshments requested by the Artists on the Booking contract.

 

Early set-ups/late finishes: For evening events, if our Artists are required to arrive at the Venue earlier than their contracted earliest arrival time due to Venue limitations or logistical issues, the Client must notify EMEL, and extra fees may apply.

 

Overtime Costs and Scheduling

 

Shortly after a Booking has been made, the Client will be issued an official Booking confirmation stating the pre-agreed start times, duration and finish time of the services provided at your event.

 

If at a later point, including during the actual engagement, additional time is required for any of our services, or reasons such as the event overrunning or a scheduling issue, overtime will be charged at £4 per additional minute (£240 per hour) for Artists, and, separately, £6 per minute (£360 per hour) for EMEL reindeer hire service, props, machine hire, Santa Hollywood Sleigh Hire on a pro-rata basis.

 

Granting a request for additional time for any of our services will be subject to availability and animal welfare and license (if applicable). Therefore, extra time beyond that which is stated on the Booking confirmation cannot be guaranteed.

 

The Client is responsible for ensuring that an event runs on time and all scheduled activities involving our services fit within the agreed-upon Booking time. While EMEL will try to accommodate unforeseen circumstances, such as increased crowd attendance, we will not alter the delivery of our services or performance in a way that might jeopardise our hallmark of quality. EMEL takes pride in providing an exceptional quality experience.

 

Use of 'dep' Artists

 

EMEL will use our standard group of Artists advertised by EMEL and the Client unless it becomes necessary to substitute a performer with a 'dep' due to unavoidable circumstances.

EMEL will make all reasonable efforts to ensure any 'dep' performers used will be of the same standard and professional competence as the performer who is to be replaced and that the 'dep' will have a good knowledge of the Artists repertoire and represent the Artist to the same high standard that is known by EMEL and expected by the Client.

 

A 'dep' Artist may be used and implemented by EMEL without further notice to the Client except for Santa Chris Nicholas. In the unlikely event that Santa Chris Nicholas cannot fulfil the contract (for reasons such as ill health), we will notify the Client and, where possible, offer a suitable replacement of a similar standard.

 

The Client agrees that the equipment and instruments of all Artists supplied by EMEL are not available for use by other performers or persons except by specific permission of the individual Artist.

 

International Hire

 

EMEL will agree to put on Events outside the United Kingdom by special agreement. Where Events are held outside the United Kingdom, the Client is responsible for the costs associated with bringing personnel and equipment into the Client’s country. EMEL will itemise those costs, which will be added to the price.

 

EMEL will use reasonable endeavours to comply with visa and customs requirements but shall not be held liable for any delay or cancellation of any Event caused by visa or customs difficulties beyond EMEL’s reasonable control.

 

The Client shall be liable for the following:

Equipment and materials transportation costs;

travel costs of staff and Artists, including plane flights, transfer costs and taxi fares;

accommodation costs and food and drink.

 

Cancellations

 

Cancellation by the Client:

Cancellation by the Client is not allowed for any reason except circumstances covered by Force Majeure. If the Client cancels the Booking, the Client agrees to inform EMEL immediately. EMEL agrees to inform its Artists, Reindeer Hire team and any additional service provider of the cancellation.

 

Cancellation by the Client is non-refundable. The Client accepts that in putting on Events, EMEL will have to expend money on materials and services, in paying deposits to artists and in creating branded or bespoke items (each of them being a “Non-refundable Item”) and that expenditure on such things cannot be refunded in any circumstances including in the event of cancellation by the Client or by EMEL or in the event of Force Majeure.

 

Behaviour

 

It is expected that all persons, including children, present at the Venue of the engagement behave in a safe, courteous and respectful manner towards all Artists and reindeer and any persons providing services provided by EMEL, including property, costumes, props, sleigh and make-up.

 

If any person, including children, present at the engagement behaves in such a way that unreasonably disrupts any Artist’s performance, makes unwanted and/or inappropriate physical contact, demonstrates aggression or abusive language towards any Artist or service provider supplied by EMEL and/or their performance, assistants and associates and/or property provided by EMEL or if any person supplied by EMEL is put into any situation that would be reasonably deemed to be unsafe, which includes the failure to provide a smoke-free environment, we are entitled, without prior notice, to terminate the engagement with immediate effect. In such a case, no refunds will be made, and the Client is liable to pay any expenses and/or costs incurred due to such a termination.

 

Adult Supervision

 

Suitable and responsible adults must be present during any Booking for safety and practicality. If a large group of children is present, the Client must adhere to official children and adult ratio guidelines.

 

Children With Special Needs

 

In the case of a child (or children) that has special needs, we ask that we are informed of the child's needs and any other general information that would be helpful before meeting them. This is primarily to ensure that we can deliver the best possible experience for the child and cater to their needs accordingly.

 

Any children that have challenging or aggressive behaviour owing to conditions such as (but not limited to) autism must have their respective parent or guardian present at all times whilst interacting with Chris Nicholas or any reindeer present.

 

Request for Enhanced DBS Certificate and Public Liability Certificate

 

EMEL Artists are certified by The Enhanced Disclosure and Barring Service (DBS), formally known as the Criminal Records Bureau (CRB).

 

We are happy to send copies of these certificates to any Client that has booked our Artists on request. For data protection reasons, we cannot send copies of these documents until after a Booking has been made and confirmed (complete with the total fee or deposit being received), thus ensuring the Client's and Booking's validity. We can guarantee beforehand that our Artist enhanced DBS certificate confirms a clean record with no criminal convictions.

 

Clients must adhere to all data protection laws when given copies of these documents and not disclose any personal details relating to Artists to any third party. Please note that Artists' or service suppliers Enhanced DBS Certificates are in full legal names, not stage/act names.

 

Assistants and Associates

 

EMEL may need to bring one or more assistants to some engagements. This will always be a suitable and responsible adult with professional experience working with children.

Re-engagement of EMEL Artists or Services Provided

 

When placing a Booking, the Client agrees to negotiate all future Bookings of any Artists and services provided to them by EMEL and not directly with any Artists or service providers. Failure to do so will be deemed a significant breach of contract.

 

Force Majeure

 

In cases of 'Force Majeure' (which shall be known as war, fire, death, illness or other capacity certified by a suitably qualified medical practitioner, epidemic, accident, civil commotion, national calamity, order of Government or Local Authority having jurisdiction in the matter, changes in law, foreign government policy, an act of God), which are not attributable to any act or failure to take preventive action by the act or Client, then the act or Client may cancel this Booking without penalty other than loss of Booking fee.

 

Coronavirus (COVID-19) pandemic, Client contracts, Cancellations and Refunds Only

 

If EMEL and/or our third-party service providers cannot fulfil the contract for reasons such as being unwell, required to self-isolate or testing positive for Coronavirus, we will offer a relevant refund for the service or services you have booked. Any refunds will be paid within ten working days.

 

Clients may be given an optional refund if the law prohibits EMEL explicitly from attending the Booking address. Such a scenario may include a lock-down specific to the Booking address and postcode. The refund will be minus 10% of the total Booking cost (including VAT if applicable) to cover our administration costs.

 

If the Client chooses to cancel their event because either they or any other person(s) have contracted Covid-19 or other infectious disease and have to quarantine or because they have a concern about their event being affected and impacted by a virus/contagious disease, EMEL cannot be held responsible, and no refunds will be made as in this instance as it would be the Client’s liability.

 

No refunds will be offered due to the agreed time slot of the event being blocked out and rendered unavailable to any other potential Client Booking. All other enquiries for that allotted time will have been refused as the Booking payment made by the Client guarantees that specific event window. Should the Client choose to cancel the event, EMEL and his third-party suppliers hired for the event will still require payment.

 

Limited exceptions to refunds

 

Sometimes, the Client will already have received some of the services or is contracted for a bespoke build/service they would have paid for in advance. In those cases, a refund would not apply.

 

Intellectual Property Rights and Image Rights

 

All IPR in the Creative Brief and the Event belongs to and shall remain vested in EMEL or the relevant third-party owner. Where third-party IPR is part of the Creative Brief and the Event, EMEL will ensure that it has the right to use and licence such third-party content for the Client's benefit at the Event.

 

Save with the express written consent of EMEL, the Client may not copy, transfer or otherwise make use of the IPR in the Creative Brief or the Event, and the Client may not make the IPR in the Creative Brief or the Event available to any third party or make any commercial use of the IPR in the Creative Brief or in the Event beyond the Event itself. 

The Client shall own all Client Created IPR.

 

The Client and each Attendee consent to such capture of audio-visual material containing the Client or any Attendee and agree to release the use of image rights to EMEL to publicise the Event as publicity material for the benefit of EMEL after the Event.

 

Liability

 

EMEL’s total liability shall not exceed 150% of the total amount paid under the Booking.

EMEL shall not be liable for consequential, indirect or special losses.

EMEL shall not be liable for distress, upset, disappointment, or hurt feelings.

EMEL shall not be liable for any of the following: loss of profit, loss or corruption of data, loss of use, loss of production, loss of contract, loss of opportunity, loss of savings, discount or rebate (whether actual or anticipated) and harm to reputation or goodwill.

Notwithstanding any other provision of the Contract, the liability of the parties shall not be limited in any way in respect of the following:

death or personal injury caused by negligence;

fraud or fraudulent misrepresentation;

any other losses which cannot be excluded or limited by applicable law;

any losses caused by wilful misconduct.

 

Personal Data (GDPR)

 

Each party shall comply with its obligations and may exercise its rights following Data Protection Laws.

Termination

EMEL may terminate the Contract or any other contract with the Client at any time by giving notice in writing to the Client if the Client has failed to pay any amount due under the Contract on the due date.

 

Termination or expiry of the Contract shall not affect any accrued rights and liabilities of EMEL at any time up to the date of termination.

 

Notices

 

Any notice or other communication given by a party under these Terms and Conditions shall be in writing and English, signed by, or on behalf of, the party granting it, and sent to the relevant party at the address set out in the Contract.

 

Notices may be given and are deemed received:

by hand: on receipt of a signature at the time of delivery; or

by Royal Mail Recorded Signed For post: at 9.00 am on the second Business.

This clause does not apply to notices given in legal proceedings or arbitration.

 

Entire Agreement

 

The parties agree that the Contract and any documents entered into pursuant to it constitute the entire agreement between them and supersede all previous agreements, understandings and arrangements between them, whether in writing or oral, in respect of its subject matter.

 

Each party acknowledges that it has not entered into the Contract in reliance and shall have no remedies in respect of any representation or warranty not expressly set out in the Contract or any documents entered into pursuant to it. No party shall have any claim for innocent or negligent misrepresentation based on any statement in the Contract.

Nothing in these Terms and Conditions limits or excludes any liability for fraud.

 

Assignment

 

The Client may not assign, subcontract or encumber any right or obligation under the Contract, in whole or part, without EMEL’s prior written consent, which it may withhold or delay at its absolute discretion.

 

Third-party rights

 

A person not a party to the Contract shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of the Contract's provisions.

 

Governing law

 

The Contract and any dispute or claim arising out of, or in connection with, its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of England and Wales.

 

Jurisdiction

 

The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, the Contract, its subject matter or formation (including non-contractual disputes or claims).

 

Definitions

 

Artist

means a performance artist or celebrity or speaker, or any individual or group of individuals important or crucial to an Event;

 

Attendee

means an invitee or individual connected to the Client attending an Event;

 

'dep' Artist

Means a substitute Artist replacement due to unavoidable circumstances.

 

Booking

means the order for the Event placed by the Client, which may include some or all of the following: the Creative Brief, budget plan, event details, contractor requirements and Event price quotation;

 

Business Day

means a day other than a Saturday, Sunday or bank or public holiday in England;

 

Contract

means the agreement between EMEL and the Client for the supply and purchase of the Event incorporating these Conditions and the Booking;

 

Client or You

means the person who makes the Booking from EMEL and whose details are set out in the Booking;

 

Client Created IPR

means any IPR created by the Client solely for the Event or previously owned by the Client;

 

Creative Brief

the conception or plan, or synopsis for the Event created by EMEL;

 

Data Protection Laws

means General Data Protection Regulation (GDPR) and Data Protection Act 2018;

Deposit

means an advance payment made by the Client to EMEL being either a specified amount or a specified percentage of the Price;

 

EMEL, We or Us

means Elf Made Events Ltd.

Event

means any event, exhibit or conference organised or managed by EMEL under these Terms as specified in the Booking;

 

Force Majeure

means an event or sequence of events beyond a party’s reasonable control (after exercise of reasonable care to put in place robust backup and disaster recovery arrangements) preventing or delaying it from performing its obligations under the Contract, including an act of God, fire, flood, lightning, earthquake or other natural disasters, war, riot or civil unrest, interruption or failure of supplies of power, fuel, water, transport, equipment or telecommunications service, or material required for performance of the Contract, strike, lockout or boycott or other industrial action including strikes or other industrial disputes involving EMEL’s or its suppliers’ workforce, but excluding the Client’s inability to pay or circumstances resulting in the Client’s inability to pay;

 

Intellectual Property Rights (IPR)

means copyright, including moral rights and performers' rights, rights in inventions, rights in confidential information know-how and trade secrets, service marks, trademarks and design rights, database rights, domain names, business names, patents and computer software;

 

Non-refundable Item

means materials and services paid for by EMEL before an Event, the creation or purchase of branded or bespoke items for Clients, and the payment of deposits of any sort which are not refundable to EMEL;

 

Price

means the total price quoted plus VAT

Schedule

means the Schedule to this agreement containing agreed Client compliance.

 

VAT

means value-added tax under the Value Added Taxes Act 1994 or any other similar sale or fiscal tax.
